Terms of Use

1. Accepting These Terms

These Terms of Use (“Terms”) are an agreement between you and My Why Enterprises, LLC regarding your use of the Poéma Health website, Poéma Circle, the Learning Library and related services (together, the “Service”).

You accept these Terms by checking the acceptance boxes presented during Member onboarding. Access to Poéma Circle and other Member features requires that affirmative acceptance. You will also be asked to confirm certain acknowledgements during onboarding and again every 90 days, as described in section 34. Simply browsing a public page is not treated as acceptance of these Terms.

2. Who We Are

The Service is operated by My Why Enterprises, LLC, an Oklahoma limited liability company (“Poéma,” “we,” “us,” or “our”), doing business as Poéma Health. You can reach us at founder@poemahealth.com.

3. Eligibility

Membership is currently limited to individuals who are at least 18 years old and who are located in the United States. By accepting these Terms you confirm that both are true. If either stops being true, please stop using the Service and let us know.

4. Early Access

Poéma is live and usable today. At the same time, Poéma is in early access: features, content and the overall experience are still being developed, tested and refined based on real use. Features may change, be added, be limited, or occasionally be unavailable while we improve them.

Your participation helps shape what Poéma becomes. Feedback is welcome at any time, but it is never required, and you are free to simply read, listen and explore. Significant announcements are posted in News & Updates on the Service and may be emailed to registered Members.

5. Your Account and Display Name

You agree to provide accurate account information and to keep it current. You choose the display name other Members see. It may be your real name or a name you choose, but your account information behind it must be accurate.

Display names may not include credentials, professional titles or reserved words (for example RN, MD, Dr., or “Poéma”). Credentials appear only as badges, after Poéma verifies them.

You may not impersonate another person, misrepresent your affiliation with any person or organization, or claim credentials you do not hold. Accounts are personal; please do not share your account or sign-in details with anyone else. You are responsible for activity that happens under your account, and you agree to tell us promptly if you believe your account has been used without your permission.

6. Membership, Free Periods and Billing

Plans and prices. Current plans, prices and free-period offers are shown on the Pricing page and at checkout.

Free Members. A free account lets you read Poéma Circle discussions, including up to two Verified Poéma Professional responses on each, ask one or two questions of your own each month and see every reply to them, and react to and save discussions. Posting and commenting beyond that, seeing every reply, and Member learning modules are part of paid Membership.

Free periods. Poéma may offer free periods of full Membership, such as a founding-member period or a trial for new Members. No payment is needed to start a free period. When a free period ends, your account moves to the free level unless you choose to subscribe; nothing you posted is deleted.

Automatic renewal. Paid Memberships renew automatically at the end of each billing period (monthly or yearly) at the then-current price until you cancel. By subscribing, you authorize us and our payment processors to charge your payment method for each renewal.

Reminders. We send a reminder before a free period ends and before each yearly renewal.

Cancelling. You may cancel at any time. After you cancel, you will not be charged again, and your access continues until the end of the period you already paid for.

No refunds. All payments are non-refundable, including partial months or years.

Plan changes and price changes. Switching plans takes effect at your next renewal. If we change a price, we will tell you before it applies to your next renewal.

Verification fee. Verified Poéma Professionals pay an annual verification fee, described in the Verified Poéma Professional Standards. It includes full Membership.

7. Education, Not Care

Poéma is a health and healthcare education and community platform. Everything on the Service is general education. It is not medical advice, diagnosis or treatment. Poéma is not a medical practice, and it does not provide diagnosis, treatment, prescribing, emergency support or individualized medical care.

Nothing on the Service is a substitute for advice from a qualified healthcare professional who knows your situation. Always seek that advice for your own health questions. If you are experiencing a medical emergency, call 911 or your local emergency number immediately. Poéma cannot respond to emergencies.

8. No Professional-Client Relationship on Poéma

Using Poéma, including reading, posting, replying, messaging, taking a course or interacting with a Verified Poéma Professional, does not create a patient–healthcare professional relationship, a therapist–client relationship, or any other professional–client relationship between you and Poéma or between you and any individual.

If you choose to receive care from a Verified Poéma Professional, that care takes place outside Poéma, through that Professional’s own practice (for example their own website, virtual care platform or physical location), under their own terms. That Professional is solely responsible for any care they provide. Poéma is not a party to that relationship and does not supervise, monitor or guarantee it.

9. Different Kinds of Information

Content on the Service comes from different sources and carries different weight: educational material prepared by or for Poéma, professional knowledge and interpretation from Verified Poéma Professionals, research evidence, practical information, community observation, and personal experience shared by individual Members.

These are different kinds of knowledge. Some contributions carry content-type labels that describe the kind of knowledge they reflect. Labels are a guide, not an endorsement. You should not assume that any particular contribution has been reviewed, approved or endorsed by Poéma.

10. User Content and Whose Opinion It Is

“User Content” means anything you submit to the Service, such as posts, replies, comments, messages, images, learning content, profiles, offerings, application materials and other material, whether you are a Member or a Verified Poéma Professional.

You are responsible for your User Content. You confirm that you have the rights and permissions needed to post it, that it does not infringe anyone else’s rights, and that you are not posting another person’s private or health information without their permission.

User Content, including content from Verified Poéma Professionals, contains the opinions and statements of the person who posted it. It is not the opinion, statement or advice of Poéma or My Why Enterprises, LLC. Poéma does not adopt, endorse or guarantee User Content, and does not review it before it is published. This section does not apply to content Poéma publishes under its own name.

11. Professional Contributions and Opinions

Verified Poéma Professionals may share established knowledge, professional interpretation, emerging ideas, reasoned minority viewpoints, practical observations and informed professional opinions. These are the individual professional’s own statements, offered for education and discussion, not individualized advice for any particular person’s situation.

Professionals are expected to make reasonable efforts to explain the nature and basis of what they share, so readers can weigh it appropriately.

12. Learning Content and Premium Offerings From Professionals

Verified Poéma Professionals publish learning content independently. Learning content is not reviewed by Poéma before it is published. Poéma may review content after publication, when a concern is raised, at random, or periodically. A review is not a guarantee that content is complete, current or right for you.

Professionals may also offer premium add-ons, such as courses, programs or educational coaching, at prices they set. Each Professional is responsible for their own offerings. Premium offerings on Poéma are limited to education; any care happens outside Poéma, as described in section 8. Any additional terms for an offering will be shown with that offering.

Educational coaching. Educational coaching is learning support from a Verified Poéma Professional. It helps a person understand health information, build skills and routines, organize their questions, and prepare to talk with their own care team. It never includes assessing, diagnosing, treating, prescribing, monitoring, or directing anyone’s care, and it doesn’t create a patient–healthcare professional relationship. Every educational coaching listing carries this statement: “Educational coaching is learning support, not medical care. Your Poéma Professional won’t assess, diagnose, treat or direct your care. For care, please see your own healthcare professional.”

13. Becoming a Verified Poéma Professional

“Verified Poéma Professional” is the universal designation for individuals who complete Poéma’s verification process. Initial eligibility categories are licensed or regulated healthcare professionals; certified health and wellness coaches; credentialed health educators; and health researchers and academic professionals.

Applicants qualify through a credential-based pathway (license, certification, degree or regulated registration) or a professional-contribution pathway (documented roles, teaching, publications, programs, educational work, leadership or other independently confirmable contributions). Verification is a separate, manual process, described more fully in the Verified Poéma Professional Standards.

14. What Verification Means, and What It Does Not Mean

Verification confirms identity and the specific qualifications, experience, roles, publications or professional records that Poéma examined and that appear on a person’s profile, as of the time Poéma checked them. It does not mean Poéma has reviewed, approved or endorsed every statement, opinion, offering or service that person provides.

Verified Poéma Professionals are independent contributors. They are not employees, agents or representatives of Poéma, unless we say otherwise in writing.

15. Professional Independence and Responsibility

Poéma supports professional independence, including the freedom to share interpretation, emerging ideas and reasoned minority viewpoints. That freedom carries responsibility: to represent credentials and scope accurately, to distinguish evidence from interpretation and personal experience, to represent sources and uncertainty honestly, to disclose relevant conflicts of interest, to stay within verified scope, to keep their Poéma presence organization-neutral (section 17), and to engage respectfully.

Each Verified Poéma Professional is solely responsible for:

  • maintaining their own licensure or credentials;
  • practicing within their scope of practice, applicable law, and the legal and ethical standards of their profession;
  • knowing where education ends and care begins, keeping to that boundary, and any care they provide outside Poéma; and
  • any liability arising from their statements, content, offerings, services or conduct.

Poéma does not monitor the boundary between education and care and is not responsible or liable if a Professional crosses it.

16. Professional Liability Insurance

Poéma strongly recommends that every Verified Poéma Professional carry professional liability (malpractice) insurance that covers their activity, including educational activity on Poéma and any premium offerings. Poéma does not provide insurance coverage for Professionals, and does not ask about or verify whether a Professional is insured.

17. Organization-Neutral Presence

Verified Poéma Professionals may not name, anywhere on Poéma, any organization where they work or have worked as an employee, contractor, leader or volunteer, whether past or current, as described in the Verified Poéma Professional Standards. A Professional may name a practice or business they own or co-own once Poéma has verified the ownership.

No statement by a Professional on Poéma represents the views of any organization they are or were associated with, and no such organization is responsible for it. Poéma may monitor profiles, posts, messages and Learning Library content for compliance and may unpublish content that does not comply. Poéma does not edit anyone’s content.

18. Prohibited Conduct

You agree not to: break the law; harass, threaten, exploit, abuse or unlawfully discriminate against anyone; post another person’s private or health information without appropriate permission; impersonate anyone or claim false credentials; give another Member an individualized diagnosis, prescription, treatment direction or emergency advice; make deceptive health claims or fabricate or misrepresent sources; advertise, solicit, spam or exploit other Members improperly; hide a relevant commercial or professional conflict; use the Service for HIPAA-regulated patient-care activity or to post patient records or clinical communications; or interfere with the security or operation of the Service.

Good-faith disagreement is not prohibited conduct. Respectfully questioning established guidance, offering a reasoned minority viewpoint or raising an emerging idea is welcome. What is prohibited is deception, disrespect and harm, not dissent.

19. Moderation: We Unpublish, We Do Not Edit

Poéma may conduct random, targeted and report-driven reviews of content and participation. We are not obligated to monitor or review content or interactions, and the absence of a review does not imply approval.

Poéma does not edit anyone’s content. If content does not meet these Terms or our standards, we may unpublish it. When we do, we tell the author which standards it did not meet. The author may fix the content and repost it, and will be asked to say briefly what they changed for each standard listed. Reposted content goes live right away. Poéma is notified of reposts and may unpublish the content again.

20. Account Actions; Reconsideration

If content or conduct appears to violate these Terms or our standards, we may ask for a clarification or correction, unpublish content, limit certain account features, suspend an account or terminate an account, choosing a response proportionate to the situation. A Verified Poéma Professional may also have verified status restricted or removed. Suspending or terminating an account ends its active sessions.

If you believe we got it wrong, email founder@poemahealth.com and ask us to reconsider. We will look again and reply. This is a lightweight, good-faith process, not a formal proceeding.

21. You Own Your Content

You keep ownership of your User Content. Nothing in these Terms transfers ownership of your content to Poéma.

22. The Limited License You Give Us

So that we can run the Service, you grant Poéma a non-exclusive, worldwide, royalty-free license to host, store, back up, reproduce, display, format and transmit your User Content solely for the purpose of operating, securing, maintaining and improving the Service and delivering it to the audience you posted it to.

This license is limited to running the Service. We may show a short anonymous preview of recent Circle posts to visitors of the Service, as described in the Privacy Policy: only the first 15 words, labeled only as a Member or a Poéma Professional, with no name, photo or other information about you. We will not use your content to promote Poéma outside the Service. The license ends when you delete your content, except for reasonable backup copies and any copies others have already been permitted to see or save within the Service.

23. Poéma’s Intellectual Property

The Service, including its design, text, graphics, logos and educational content created by or for Poéma, but excluding User Content and third-party content, belongs to Poéma or its licensors and is protected by intellectual property law. Please don’t use the Poéma name, logo or branding without our written permission.

24. Third-Party Content, Services and Links

The Service may link to or incorporate third-party websites, content and services that we do not control, including payment processors, other vendors, and the websites and practices of Verified Poéma Professionals. We are not responsible for third-party content, services or practices, and a link is not an endorsement. Third parties have their own terms.

25. Privacy and Circle Visibility

Our Privacy Policy explains what we collect and how we handle it, and is part of these Terms by reference. Please read it.

Poéma Circle is a members-only community space. Content posted there is visible to signed-in Members who have completed onboarding, and is shown publicly only as an anonymous preview if you give permission. Share thoughtfully, and do not post anything you would not want other Members to see.

26. Availability and Changes to the Service

We aim to keep the Service running well, but we do not guarantee uninterrupted availability. During early access especially, features may change, be limited or be temporarily unavailable. We may modify or discontinue parts of the Service.

27. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We do not warrant that content on the Service is complete, accurate, current or applicable to your individual circumstances, and we do not warrant the statements, offerings, services or conduct of any Member or Verified Poéma Professional.

28. Limitation of Liability

To the fullest extent permitted by law, the Poéma Parties (defined in section 29) will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or loss of goodwill, arising out of or relating to the Service, or to any care or services a Verified Poéma Professional provides outside the Service.

To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Service will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid Poéma directly for the specific service giving rise to the claim during the twelve months before the claim arose.

Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud, fraudulent misrepresentation or willful misconduct. These limitations apply only to the extent permitted by applicable law; if your jurisdiction does not allow certain limitations, those limitations do not apply to you.

29. Release

“Poéma Parties” means My Why Enterprises, LLC d/b/a Poéma Health and its owners, managers, officers, employees, contractors and affiliates.

To the fullest extent permitted by law, you release the Poéma Parties from claims arising from the content, statements, offerings, services or conduct of any Member or Verified Poéma Professional, including any care a Professional provides outside the Service and your reliance on any of it. This release does not apply to the Poéma Parties’ own gross negligence, fraud or willful misconduct, or to any liability that cannot legally be released.

30. Professional Indemnification

Each Verified Poéma Professional agrees to defend, indemnify and hold harmless the Poéma Parties from claims, losses and expenses, including reasonable attorneys’ fees, arising from that Professional’s content, offerings, services or conduct, or from their breach of these Terms or the Verified Poéma Professional Standards.

31. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules.

32. Resolving Disputes

If something goes wrong, please contact us first at founder@poemahealth.com. Most issues can be resolved quickly and informally, and we commit to engaging in good faith to try to resolve any dispute that way.

If a dispute cannot be resolved informally, it may be brought in the state or federal courts located in Oklahoma, and the parties may also pursue any other rights available under applicable law. These Terms do not require arbitration, do not waive your right to a jury trial, and do not waive your right to participate in a class or collective action.

33. Changes to These Terms

We may update these Terms as the Service develops. Each version carries a version identifier and date. If we make a material change, we will give notice through the Service, for example in News & Updates or by email to registered Members, and ask you to review and affirmatively accept the updated Terms before continuing to use Member features. Minor editorial changes, such as fixing a typo or clarifying wording without changing your rights or obligations, do not require re-acceptance. We keep a record of the versions you have accepted.

34. Acknowledgements and 90-Day Confirmation

During onboarding, you will be asked to check a short set of acknowledgements, each separately:

  • Poéma is education only. It is not medical care and does not replace your own healthcare professional.
  • What Members and Professionals post are their own opinions, not Poéma’s, and Poéma is not responsible for them.
  • In an emergency, you will call 911 or your local emergency number, not post on Poéma.

Verified Poéma Professionals also acknowledge that:

  • they are solely responsible for their licensure, scope of practice, legal and ethical boundaries, and any liability arising from what they post or offer on Poéma;
  • Poéma recommends that they carry professional liability insurance and does not provide any coverage for them; and
  • they will not name any organization they work for or have worked for anywhere on Poéma, unless they own it and Poéma has verified the ownership.

Every 90 days, and whenever these Terms or our standards change materially, you will be asked to confirm these acknowledgements again. Until you do, access to Poéma Circle and the Learning Library is paused; your account, billing and cancellation remain available. We keep a record of each confirmation, including the date, your role and the version confirmed.

35. No Clinical Care or HIPAA-Regulated Use

Poéma is an education and community platform. It is not built, configured or offered as a clinical system, and it must not be used as one. You may not use Poéma as:

  • an electronic health record or any medical-record repository;
  • a patient portal;
  • a telehealth, clinical-messaging or care-coordination system;
  • a way to send prescriptions, treatment plans, referrals or patient records;
  • a system for transmitting or storing protected health information on behalf of a HIPAA-regulated entity; or
  • a substitute for a HIPAA-compliant system.

Verified Poéma Professionals must not invite their patients or clients to Poéma for clinical communication, and must not request, post, transmit or store identifiable patient information anywhere on the Service.

Members are welcome to discuss their own health experiences. You may share your own health information, such as a test result, in a screenshot or photo, as long as nothing in it could identify you or anyone else. Please do not upload medical records or images of body parts, and do not share information you would not want visible to the applicable audience. The Community Standards explain what images and screenshots are welcome.

Ordinary use of the Service does not create a business-associate relationship between Poéma and any covered entity or business associate. No business-associate relationship exists unless Poéma has signed a separate written business associate agreement.

Violations of this section may lead to unpublished content, account restrictions, suspension or termination, and loss of verified status. The fact that HIPAA does not apply to ordinary use of Poéma does not mean no rules apply. Other privacy, security and breach-notification obligations may still apply to Poéma and to information shared through the Service.

36. General

If any provision of these Terms is held unenforceable, the rest remains in effect and the unenforceable provision is limited only as much as necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy, the Community Standards and, for Verified Poéma Professionals, the Verified Poéma Professional Standards, form the entire agreement between you and Poéma regarding the Service.
